KEYTOM Referral Program Terms of Use
These Terms of Use (the “Agreement”) constitute a legally binding contract between you (the “Participant”, “you”) and KEYTOM SERVICES LTD and Virtual Assets Service Provider Keytom Solutions s.r.o. (hereinafter “KEYTOM”, “Company”, “we”, “us”). KEYTOM comprises KEYTOM SERVICES LTD., operating under the MSB FINTRAC license (MSB reg. nr. M21788474), and Keytom Solutions s.r.o. (registration number 212 34 124), a Virtual Asset Service Provider (VASP) with authorization in the Czech Republic, registered at Frydlantská Str., No. 1312/19, Kobylisy, ZIP code: 182 0, Prague 8. This Agreement governs your participation in the KEYTOM Referral Program (the “Program”).
Please read this Agreement carefully. By accepting these terms, you also confirm your agreement to the main KEYTOM Terms and Conditions and our Privacy Policy.
1. Acceptance of the Terms
By entering a referral code and clicking "Continue" or any similar action to proceed with registration, by sharing your referral code, or by otherwise using any feature of the Program, you acknowledge and agree that:
You have read and understood all terms of this Agreement and accept them unconditionally.
This Agreement constitutes a legally binding contract between you and KEYTOM with the same force and effect as a written agreement bearing your signature.
Participation in the Program is conditional upon your acceptance of these terms. If you do not agree, you must not participate in the Program.
2. Definitions
- Referrer: An existing KEYTOM customer who has successfully completed the Know Your Customer (KYC) verification process and shares their Referral Code.
- Referral: A new customer who (i) has not previously held a KEYTOM account, (ii) registers using a Referrer's Referral Code, and (iii) successfully completes the KYC verification process.
- Referral Code: A unique code provided to a Referrer to track the Referrals they invite. The Referral Code may also be automatically populated during registration when a user arrives through KEYTOM-managed landing pages or marketing funnels. In such cases, the user is not considered a Referral under this Program unless all other eligibility conditions are independently met.
- Reward: A monetary incentive payable to the Referrer in USDC, subject to satisfaction of the applicable conditions set out in this Agreement. The eligibility for and amount of the Reward shall depend on the date on which the relevant referral conditions are fulfilled, as further specified herein.
3. Eligibility
- For Referrers: You must be an active KEYTOM customer and have successfully completed the KYC verification process.
- For Referrals: You must be a new customer who has not previously held an account with KEYTOM and must successfully complete the KYC verification process after registration.
4. How the Program Works
- Get Your Code: After successfully completing KYC, you will be provided with a unique Referral Code.
- Invite: You may share your code with potential new users. You are solely responsible for complying with all applicable laws, including but not limited to anti-spam legislation (e.g., Canada's Anti-Spam Legislation - CASL) and data protection laws (e.g., GDPR). You agree to share your code only with individuals with whom you have an existing personal or business relationship and to do so through your personal communication channels.
- Referral Sign-Up: The user you invite must enter your Referral Code during registration and successfully complete the KYC process.
- When a new user signs up through KEYTOM landing pages or promotional pages, a Referral Code may be automatically pre-filled in the registration form. Such automatic insertion does not create a Referral relationship and does not entitle any Participant to a Reward unless the new user otherwise qualifies as a Referral under Section 2 of this Agreement.
5. Conditions for Earning a Reward
A Reward may be credited to the Referrer subject to the conditions set out below and in accordance with the version of the Program rules applicable at the time the relevant Referral completes such conditions.
1. Successfully completes the Know Your Customer (KYC) verification process.
2. Opens a KEYTOM virtual card.
3. Makes five (5) separate purchases using their virtual card, where each purchase is for an amount equivalent to at least 50 USDC and has the transaction status "Completed". Transactions in any other status (including but not limited to Pending, Failed, Declined, Reversed, or Processing) shall not be counted toward fulfillment of Program conditions.
For the avoidance of doubt, a Referral shall be deemed to have satisfied the transaction requirement only if such Referral completes at least five (5) separate purchases, each in an amount equivalent to no less than 50 USDC, using a KEYTOM virtual card, with each transaction having the status “Completed”.
(a) Referrals Completing Conditions on or before 08 January 2026 (inclusive).
Where a Referral completes all conditions set out in Section 5 on or before 08 January 2026 (inclusive), the following Rewards shall apply in accordance with the Program rules in force prior to such date:
(i) the Referrer shall receive a Reward in the amount of 100 USDC; and
(ii) the qualifying Referral shall receive a Reward in the amount of 50 USDC.
(b) Referrals Completing Conditions on or after 09 January 2026.
Where the conditions for receiving a Reward are satisfied on or after 09 January 2026, a Reward in the amount of 50 USDC per qualifying Referral shall be credited exclusively to the Referrer, provided that each Referral has fully completed all conditions set out in Section 5. Referrals shall not be entitled to receive any Reward in respect of conditions completed on or after this date.
(с) Payout Method and Timing.
Any Reward payable under the Program shall be credited to the relevant participant’s USDC account within the KEYTOM system within fifteen (15) business days following KEYTOM’s verification that all applicable conditions have been satisfied.
6. Reward Amount and Payout
- Referrer’s Reward: 50 USDC for each Referral who meets the conditions.
- Payouts are made to your USDC account within the KEYTOM system.
- Payout Timeline: Payouts will be made to your USDC account within the KEYTOM system within 15 business days after all conditions have been successfully met.
Nothing in this Agreement shall be construed as granting any Participant a vested or accrued right to receive a Reward unless and until all applicable conditions have been fully satisfied and verified by KEYTOM in accordance with this Agreement.
For the avoidance of doubt, only Referrals who complete all applicable conditions of the Program on or before 14 February 2026 (inclusive) shall be eligible for any Reward. Completion of conditions after this date shall not give rise to any entitlement to a Reward.
7. Prohibited Activities
The following activities are strictly prohibited:
- Self-referral: Creating duplicate or fake accounts to earn a Reward.
- Spamming: Engaging in mass distribution of the Referral Code, or posting it on commercial websites, forums, or social media without prior consent from the recipients.
- Misleading information: Misrepresenting the Program or KEYTOM's services.
- Illegal activities: Using the Program for any unlawful purpose, including but not limited to money laundering or terrorist financing.
- Refunded, reversed, or cancelled transactions: Any transactions that are refunded, charged back, reversed, cancelled, disputed, or otherwise not finally settled shall not be deemed completed or valid for the purposes of meeting the conditions of the Program. Such transactions shall not be taken into account when calculating Rewards. Where a Reward has already been credited or paid in connection with such transactions, KEYTOM reserves the right to revoke, deduct, withhold, or recover such Reward at its sole discretion.
A violation of any of these rules will result in the immediate forfeiture of all earned Rewards and may lead to your termination from the Program and the suspension of your account.
8. Data Protection
By accepting this Agreement, you give your explicit consent for the collection and processing of your personal data (such as your name and the status of condition fulfillment) for the purpose of administering the Program, including tracking progress and paying Rewards. We are committed to processing your data in accordance with our Privacy Policy and applicable laws (GDPR, PIPEDA).
9. Tax Obligations
You acknowledge and agree that you are solely and exclusively responsible for reporting and paying any and all taxes applicable to the Rewards you receive under the Program, in accordance with the laws of your jurisdiction. KEYTOM does not provide tax advice.
10. Disclaimer of Liability
The Program is provided on an “as is” basis. KEYTOM makes no warranties with respect to the Program and shall not be liable for any loss or damage arising from your participation in it.
11. Modification and Termination
For the purposes of determining the applicable Reward structure, the decisive factor shall be the date on which a Referral completes all conditions set out in Section 5. Referrals completing all such conditions on or before 08 January 2026 (inclusive) shall be governed by the prior Reward rules, whereas Referrals completing all such conditions on or after 09 January 2026 shall be governed exclusively by the amended Reward rules set out herein, irrespective of the date of registration or referral invitation.
Program Term. The Referral Program shall remain in force until 14 February 2026 (inclusive), unless terminated or modified earlier at KEYTOM’s sole discretion in accordance with this Agreement. No new referral activities initiated after this date shall qualify for any Reward, regardless of whether the conditions are subsequently satisfied.
12. Governing Law
All disputes related to this Agreement shall be resolved in accordance with the governing law specified in the main KEYTOM Terms and Conditions.
