This Promotion Policy (hereinafter referred to as the "Policy") establishes the rules and conditions for the joint promotion"1% Cashback on Card Purchases for Kings Rental Cars Customers" (hereinafter referred to as the "Promotion"), organized by KEYTOM Services ltd. (hereinafter referred to as the "Organizer") in partnership with Kings Rental Cars (kingsrentalcars.com).
The purpose of this Promotion is to encourage Kings Rental Cars customers to use KEYTOM virtual cards.
This document has been prepared in accordance with the requirements of applicable Canadian law, including, but not limited to, the provisions of the Competition Act (R.S.C., 1985, c. C-34), the Criminal Code (R.S.C., 1985, c. C-46) regarding promotional contests, and the Personal Information Protection and Electronic Documents Act (PIPEDA, S.C. 2000, c. 5).
Participation in the Promotion constitutes the full and unconditional agreement of all Participants to the terms of this Policy. The Organizer strongly recommends that all potential Participants carefully read this document before deciding to participate.
In this Policy, the following terms are used:
• Organizer — KEYTOM Services ltd., a company incorporated under the laws of Canada, which is the initiator and responsible party for conducting the Promotion.
• Partner — Kings Rental Cars, a company that provides its customers with the opportunity to participate in the Promotion.
• Promotion — the marketing event "1% Cashback on Card Purchases for Kings Rental Cars Customers," conducted in accordance with the terms set out in this Policy.
• Participant — a natural person who is a customer of the Partner (kingsrentalcars.com) and has registered in the KEYTOM system in the manner prescribed by clause 3.2 of this Policy, thereby obtaining a KEYTOM Virtual Card.
• Purchase — any successful and fully completed transaction for the payment of goods or services provided by the Partner, made by a Participant using a KEYTOM Virtual Card during the Promotion Period. The following are not considered Purchases:
◦ Money transfers (including transfers between own accounts and transfers to third parties).
◦ Cash withdrawal transactions.
◦ Payments for financial services, quasi-cash transactions.
◦ Transactions that have been canceled, disputed, or refunded.
◦ E-wallet top-ups.
◦ Transactions that, in the Organizer's assessment, do not comply with its compliance policy, risk management standards, or internal Anti-Money Laundering and Counter-Terrorist Financing (AML/CFT) procedures.
• Cashback — a refund of 1% (one percent) of the amount of each eligible Purchase made during the Promotion Period. The calculation is based on the total transaction amount paid by the Participant.
• Promotion Period — the period from 00:00:01 EST on February 23, 2026, to 23:59:59 EST on April 23, 2026, inclusive. The Organizer reserves the right to unilaterally change the dates of the Promotion, which will be communicated additionally.
• Cashback Activation Period — a two-month (60 calendar days) period that begins individually for each Participant from the moment of their registration in the KEYTOM system using the Referral Link or Referral Code.
• Referral Link — the unique web link (https://app.keytom.com/sign-up?ref=KingsRental) used to register new customers in the KEYTOM system as part of this Promotion.
• Referral Code — the unique code "KingsRental" that must be entered during registration in the KEYTOM system to activate participation in the Promotion.
• KEYTOM Virtual Card — a virtual debit card issued by the Organizer and linked to the customer's account in the KEYTOM system.
• USDC Account — a Participant's account in the KEYTOM system, denominated in USD Coin (USDC) stablecoins, to which Cashback is credited.
3.1. To be eligible to participate in the Promotion, individuals must be of the age of majority in their province or territory of residence in Canada, be legally competent, be customers of the Partner (kingsrentalcars.com), and have registered in the KEYTOM system in the manner prescribed by clause 3.2 of this Policy, thereby obtaining a KEYTOM Virtual Card.
3.2. To activate participation in the Promotion, a Partner’s customer must register as a new user in the KEYTOM system during the Promotion Period using one of the following methods:
a) By following theReferral Link: https://app.keytom.com/sign-up?ref=KingsRental
b) By entering the Referral Code"KingsRental" in the corresponding field of the registration form.
3.3. Cashback is activated for 2 (two) months from the moment of the Participant's registration in accordance with clause 3.2. After this period, the terms of the Promotion for that Participant will expire. Cashback will only be accrued within the Promotion Period or the individual Cashback Activation Period, whichever ends first.
3.4. Employees of the Organizer, its affiliates, and their family members are not eligible to participate in the Promotion.
3.5. The Organizer reserves the right to verify a Participant's compliance with the requirements of this Policy at any time and to refuse to award Cashback if any violations are found.
4.1. Within the framework of the Promotion, Participants are awarded Cashback in the amount of 1% (one percent) of the value of each Purchase made using the KEYTOM Virtual Card during their individual Cashback Activation Period.
4.2. All Purchases made by a Participant during their individual Cashback Activation Period are eligible for Cashback, subject to the limitation set forth in clause 3.3 of this Policy. The date of a Purchase is the date and time of the transaction authorization in EST.
4.3. Cashback is calculated based on the total amount of each individual Purchase. The amounts of all Purchases made during each month of the individual Cashback Activation Period are not aggregated for a single calculation.
4.4. The Organizer reserves the right to set reasonable limits on the maximum amount of Cashback per Participant during the individual Cashback Activation Period for the purposes of risk management, abuse prevention, and compliance with internal procedures.
4.5. In the event of a return of goods or services for which a Purchase was made, the amount of previously accrued Cashback for that transaction will be voided. If the Cashback has already been paid, the Organizer reserves the right to withhold the corresponding amount from future Cashback payments or from the balance of the Participant's USDC Account.
4.6. The Organizer reserves the right not to award Cashback or to cancel a Participant's participation in the Promotion if it detects actions aimed at artificially creating transactional turnover, obtaining an unfair advantage, or otherwise abusing the terms of the Promotion, including, but not limited to:
- conducting transactions with affiliated persons;
- conducting transactions with no real economic substance;
- splitting payments to increase the amount of Cashback;
- using multiple accounts;
- conducting operations not related to the actual consumption of the Partner's services.
4.7. Cashback is accrued only on transactions that are correctly identified in the Organizer's system as being made to the Partner, based on merchant data, MCC, and other transaction parameters.
5.1. Cashback is paid to Participants in two installments. The first installment is paid within 15 calendar days after the end of the first month of the individual Cashback Activation Period. The second installment is paid within 15 calendar days after the end of the second month of the individual Cashback Activation Period. The Organizer will make all reasonable efforts to process payments as quickly as possible within these periods.
5.2. Cashback is credited to the Participant's USDC Account in the KEYTOM system. The Participant is responsible for maintaining and ensuring the activity of this account at the time of payment.
5.3. The amount of Cashback accrued for each month of the individual Cashback Activation Period is paid as a separate payment.
5.4. The Organizer is not responsible for payment delays caused by incorrect information provided by the Participant, account inactivity, or technical problems on the Participant's side.
5.5. In accordance with the requirements of the Competition Act, the Organizer takes reasonable measures to prevent undue delays in the payment of Cashback. The payment period is established taking into account the time required to process all transactions and conduct necessary checks.
5.6. The Organizer has the right to refuse to accrue and/or pay Cashback in whole or in part without prior notice to the Participant if there are reasonable suspicions of a violation of the Promotion terms, fraud, system abuse, or non-compliance with internal risk management requirements. The Organizer may temporarily suspend the accrual or payment of Cashback pending the completion of a review of the Participant's transactional activity. The Organizer also has the right at any time, including after the Cashback has been accrued, to make a full or partial withholding, cancellation, or demand for the return of Cashback in the following cases: (a) discovery of facts indicating a violation of this Policy by the Participant; (b) detection of signs of fraud, system manipulation, or other illegal actions; (c) violation of anti-money laundering and counter-terrorist financing requirements; (d) a return, cancellation, or dispute of the transaction for which Cashback was accrued. The withholding is made by debiting the corresponding amount from the Participant's USDC Account or by offsetting it against future Cashback payments.
6.1. Participants will be informed about the terms of the Promotion and this Policy through information posted on the Organizer's official website, social networks, on the KEYTOM mobile application, and via email newsletters.
6.2. A banner informing about the Promotion will be displayed on the main screen of the mobile application. Upon clicking it, Participants will have access to a pop-up information panel with a brief description of the Promotion mechanics.
6.3. The Organizer maintains a banner management system that allows for the simultaneous running of multiple advertising campaigns, including, but not limited to, the referral program.
6.4. The full and current version of this Policy will be available via a direct link from promotional materials related to the Promotion.
7.1. The Organizer reserves the right to unilaterally amend this Policy, including, but not limited to, extending or prematurely terminating the Promotion, provided that Participants are notified of such changes at least 5 (five) calendar days before they take effect. Notification will be made through the methods specified in Section 6 of this Policy.
7.2. All disputes and disagreements that may arise in connection with the Promotion shall be resolved through negotiations. If an agreement cannot be reached, disputes shall be resolved in accordance with the current legislation of Canada at the Organizer's location.
7.3. Participation in the Promotion is not a lottery or any other game of chance, as it does not require Participants to pay a fee to enter and is based on their making Purchases, not on an element of chance.
7.4. The Organizer is not liable for any direct or indirect losses of Participants related to their participation in the Promotion, except in cases expressly provided for by law.
7.5. In all matters not regulated by this Policy, the Organizer and Participants shall be governed by the current legislation of Canada.
7.6. This Promotion is a marketing initiative, is not a public offer, and does not create an unconditional property right for Participants to receive Cashback. The accrual and payment of Cashback are at the Organizer's discretion, provided that all requirements of this Policy and the Organizer's internal procedures are met.
7.7. In the event of violations of the Promotion terms, fraudulent activity, attempts to circumvent established restrictions, or other actions that create a risk for the Organizer, the Organizer has the right to:
- terminate a Participant's participation in the Promotion at the Organizer's discretion if there are reasonable grounds or for the purpose of complying with internal risk management procedures;
- disqualify the Participant;
- cancel accrued Cashback;
- temporarily suspend operations on the Participant's account;
- take other measures in accordance with internal policies and applicable law.
7.8. The Organizer is not responsible for the inability to participate in the Promotion or to receive Cashback due to technical failures, errors in transaction processing, delays by payment systems, banks, or other third parties.
